ViRexx now on Amex, Partner assists with SEC approval and listing. Congratulations to our client, ViRexx Medical Corporation (REX) for its listing on the American Stock Exchange. Bruce Hirsche, a partner in the Edmonton office, did the legal work in obtaining SEC approval and listing the company on the American Stock Exchange. ViRexx is an Edmonton based biotechnology company focused on the development of novel therapeutic products for the treatment of cancer and chronic viral infections. ViRexx's most advanced clinical programs include drug candidates for the treatment of ovarian cancer, chronic Hepatitis B & C and solid tumors.

Parlee McLaws LLP is ranked nineteenth in The Globe and Mail's list of the law firms completing the largest M&A deals from July 1st to September 30th, 2005, published on October 5, 2005. "Monster-sized global acquisitions drove merger and acquisition volume to record levels in the first nine months of the year," wrote Jacquie McNish in The Globe and Mail.
The deal, which was ranked nineteenth, refers to the merger of StarPoint Energy Trust and APF Energy Trust into a single trust to be continued under the name "StarPoint Energy Trust". The acquisition of units of APF Energy Trust was satisfied through the issuance of trust units of StarPoint Energy Trust and the assumption of bank debt and convertible debentures of APF. Prior to the merger, in a transaction completed in June 2005, APF sold certain oil and gas assets to Rockyview Energy Inc., a newly-formed public exploration corporation that was spun off to APF's unitholders. In connection with the merger and the spin-off, Parlee McLaws LLP represented APF Energy Trust in Canada with a team including Nancy Penner, Jim Thomson, Scott Watson, Leanne Krawchuk and Peter Inglis.

Jerri Cairns and Dick Wilson of Parlee McLaws LLP are speaking at The Canadian Institute’s 3rd Annual Auto Insurance Claims Litigation seminar. The seminar is September 22 - 23, 2005 at the Metropolitan Centre in Calgary.
On Friday, September 23 at 1:30 pm, Ms. Cairns will be speaking during the session “Computing the Damages”. In conjunction with an economist and physiatrist, she will provide the legal perspectives necessary to prove one’s case. At 3:15 pm, Mr. Wilson will be speaking during the session entitled “Reconstructing Accidents”. Specifically, he will speak about the role of an engineering expert and the engineer’s report as well as provide insight into court presentation of exhibits and how to deal with opposing experts.

Calgary lawyer, Nancy Penner, will be acting as moderator at the Canadian Corporate Counsel Association (CCCA) conference in Vancouver August 14 to 16, 2005. The theme of this year’s conference is Corporate Counsel Leadership. Ms. Penner will be moderating the discussion on the use of non-legal advisors entitled “Use of Non-legal Advisors: Making the Most of Your Financing Teams”. Ms. Penner is Counsel with Parlee McLaws LLP. Her practice focuses on securities, and oil and gas law. The Canadian Corporate Counsel Association was established in 1988 and is solely devoted to serving the needs of Canadian in-house counsel.

FLOYD _ John "Peter", Q.C. 1929 - 2005
Peter Floyd, beloved father and grandfather, passed away in the arms of his children at the age of 76 years. Peter was born in Winnipeg, MB on February 25, 1929 and was raised in Nanton, AB. He graduated from the University of Alberta in 1953 with a Bachelor of Arts in History and a Bachelor of Laws. He articled with Don McLaws, Q.C. and was admitted to the Bar in 1954. He enjoyed a long and satisfying legal career, first at McLaws and Company, then was instrumental in the formation of the law firm Parlee McLaws.
He was appointed Queen's Counsel in 1980 and became Master-in-Chambers of the Court of Queen's Bench of Alberta in 1987. He loved his work as a Master and continued until the day of his death. Peter was past-President and Chairman of the Board of both the Heritage Park Society and the Calgary Professional Club. He was recognized in 2004 by the Governor General of Canada with the Golden Jubilee Medal, given to Canadians who have demonstrated outstanding and exemplary achievement to the community. Peter was also recognized in 2004 for his fifty years of membership with the Law Society of Alberta. Peter adored bird-hunting, shooting, skiing, hiking and bird-watching since childhood and was the past-Director of the Spruce Creek Upland Club. One of his favourite pastimes was being on the prairies with his beloved Labrador Retrievers. Travel was also a passion and he visited all seven continents.
More than anything Peter loved his family and friends. He was a doting grandfather, endlessly generous to all and will be missed more than he knows. Peter's life is celebrated by his daughter Margot (Michael) Sondermann; grandsons, Stuart and Douglas; son James Floyd; grandchildren, Julia and Kevin; and their mother, Amy. He will be dearly missed by his wonderful companion of recent years, Esther Klemp. Also missing Peter are his brother Veysie (Anita) Floyd; his sister Anne (John) Stiles; brother-in-law Ross (Lois) Hamilton and their families. Peter has gone to join his beloved wife Peggie who predeceased him in 1994.

Congratulations to Walter Pavlic on his elevation to President of the Canadian Bar Association - Alberta, for the 2004-2005 term.
Walter Pavlic, a labour & employment partner in our Edmonton office, has been elevated to the position of President of the Alberta branch of the Canadian Bar Association for the 2004-2005 term. A long-time volunteer in the legal community, and in particular the CBA, Walter represents over 4700 members of the Alberta branch on issues relating to the legal profession, the administration of justice and law reform in Canada.
Most recently, Walter was Vice-President of the Branch, and has served in a variety of other capacities including as President of the Canadian Bar Association National Labour and Employment Law Section and as Co-Chair of the 1997 and 1999 Alberta Mid-Winter Meetings.

Well known lawyer Ed Molstad Q.C. counsel at Parlee McLaws Edmonton was made honourary Chief of the Samson Cree Nation.
On Friday, July 23, 2004, Parlee McLaws LLP's Senior Counsel, Ed Molstad, Q.C., was honoured by the Samson Cree Nation as an honourary chief at a ceremony marking the beginning of Band’s annual summer Pow-Wow in Hobbema, just south of Edmonton, Alberta, Canada. The Samson Cree Nation bestowed this prestigious honour upon Mr. Molstad and Mr. James O’Reilly, of O’Reilly & Associés of Montréal, Québec, both highly respected aboriginal and treaty rights lawyers in Canada who are representing the Samson Nation in their multi-billion dollar breach of treaty and trust case currently before the Federal Court of Canada. The mammoth trial, now in its 351st day in Calgary, will hear final arguments for Phase II beginning in late November.
The bestowing of honourary chieftainships is a relatively rare event for Samson with the last one given in 1980 to Canada's Former Prime Minister, The Rt. Hon. Jean Chrétien. Presiding over the ceremony, which included a procession and a corps of over 400 traditional dancers, was Samson Elder George Saddleback. During the ceremony, Chief Victor Buffalo stated "Messers O'Reilly and Molstad have done a great deal over the years to advance the proper recognition of aboriginal and treaty rights for all First Nations people in Canada and have made numerous personal sacrifices to advance our cause. We welcome them as honourary Chiefs of our Nation".
Upon receiving the honour, Ed Molstad, Q.C. said, "I am honoured that the Samson Cree Nation has bestowed this tremendous kindness on me and I consider it a great responsibility to work with the Samson Cree Nation to represent the interests of the aboriginal community in Canada. It is a privilege to serve them and to be recognized by them in this way.”
The extraordinary nature of the Samson legal proceedings has the potential to determine the key principles about Samson's relationship with the Crown and proper recognition and respect for the effect of Treaty No. 6. The legal action, unquestionably one of the most important cases ever to come before the Courts of Canada in relation to the rights of Aboriginal Peoples will have profound ramifications for the future of First Nations People.

It is with great sorrow that we announce the passing of our associate and friend, Paul Saini. Paul died on Wednesday, May 19, 2004 in Calgary, at the age of 38 years. A recent member of Parlee McLaws LLP's Calgary office, Paul's energy, willingness to assist one and all, and love of legal practice will be missed by all of us at the firm. He leaves many friends at Brownlee LLP and Fraser Milner Casgrain as well. Our prayers are with Paul's wife, daughter, family and friends.

It is with great sadness that we announce the passing of our partner and dear friend, Dane Wintermute. Dane died on Wednesday, April 21, 2004, as a result of a flying accident just outside of Edmonton. A member of Parlee McLaws LLP since 1985, his friendship, loyalty and fine legal skills will be missed profoundly by all of us at the firm. Our prayers are with Dane's wife, children, family and friends.
